A cooperative apartment is a corporation that holds legal title to an apartment building. Shares of the corporation stock are sold to the individuals who occupy the apartments. The occupants receive leases from the corporation. The residents are both tenants and owners. The courts are split on whether a cooperative corporation can arbitrarily withhold its consent to transfer. However, the cooperative corporation may retain a first right of refusal.
